Strategies4RXSavings Corporation, doing business as StrategiesRx (“Company,” “we,” “us,” or “our”), provides access to the Savings Hub Membership website, tools, databases, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms of Use (the “Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
1. Who May Use the Services
The Services are offered to licensed pharmacies, healthcare organizations, and allied entities in the United States for business use only. You must be at least 18 years old and authorized to bind your organization.
2. Scope; No Medical, Legal, or Plan-Marketing Advice
The Services provide educational resources, workflow guidance, and discovery tools to help identify potential prescription-cost savings programs and pathways. The Services do not provide medical, legal, tax, compliance, or billing advice. We do not sell, endorse, or compare specific health plans and the Services must not be used for plan-specific marketing or plan steering. We are not connected with or endorsed by the U.S. government or the federal Medicare program.
3. Subscriptions, Billing, and Cancellation
3.1 Membership is per pharmacy location unless expressly stated otherwise.
3.2 Subscriptions auto-renew each billing period until canceled. You authorize us (or our payment processor) to charge all applicable fees, taxes, and agreed add-ons to your payment method on file.
3.3 Prices, features, and inclusions may change. We will provide notice of material pricing or plan changes.
3.4 You may cancel at any time prior to your renewal date to avoid the next charge. Partial periods are not prorated unless required by law.
4. Refunds
Fees are prepaid and non-refundable except where legally required or expressly stated otherwise in writing. If you believe a charge is in error, contact us at info@strategies4rxsavings.com within 30 days.
5. Accounts and Authorized Users
You are responsible for maintaining the confidentiality of login credentials and for all activities under your account. Seats are individual and may not be shared. Each location requires its own membership or authorized seat allocation. Notify us promptly of any unauthorized use.

You agree to use the Services in compliance with these Terms and all applicable laws, including HIPAA, state privacy laws, and federal and state anti-kickback and beneficiary-inducement laws. Without limiting the foregoing, you will not:
7. PHI, HIPAA, and Business Associate Status
The Services are designed to avoid receipt of PHI. Do not input PHI into the platform. We generally do not act as a Business Associate under HIPAA. If the parties agree in writing to exchange PHI, a separate, duly executed Business Associate Agreement (BAA) will govern that processing. If support requires PHI, you must limit disclosures to the minimum necessary and use secure channels.
8. Educational Focus; Program Limitations
Eligibility criteria, funding windows, formularies, prices, and payer rules may change without notice. Identification of a potential option is not a guarantee of approval, coverage, or specific savings. Manufacturer copay assistance is generally limited to commercially insured patients and is not permissible for federal program beneficiaries.
9. Intellectual Property; Limited License
We and our licensors own all right, title, and interest in and to the Services, including content, software, databases, designs, and trademarks. Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
10. Third-Party Programs and Links
References to third-party programs, foundations, manufacturers, discounts, or websites are for identification only and do not imply endorsement or sponsorship. Third-party sites and services are governed by their own terms and policies.
11. Confidentiality
Each party may disclose business, technical, or other information that is marked or reasonably considered confidential (“Confidential Information”). The receiving party will protect the disclosing party’s Confidential Information with at least reasonable care and use it only to perform under these Terms.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy.
13. Modifications to the Services
We may enhance, modify, or discontinue features from time to time. If we make a material change that significantly reduces core functionality of a paid plan, we will use reasonable efforts to provide notice.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT RESULTS OR SAVINGS ARE GUARANTEED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOSS OF DATA; OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
16. Indemnification
You will indemnify and hold us harmless from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your breach of these Terms, or your violation of applicable law or third-party rights.
17. Suspension and Termination
We may suspend or terminate access to the Services immediately if you materially breach these Terms or if necessary to address a security, legal, or operational risk. Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive (including payment obligations accrued, confidentiality, IP, disclaimers, limitations of liability, and indemnification) will survive termination.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Maury County, Tennessee.
19. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting the revised Terms and/or by email. Your continued use of the Services after the effective date constitutes acceptance.
20. Assignment
You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
21. Force Majeure
We will not be liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supplier failures, utility or internet interruptions, or governmental actions.
22. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous agreements on the subject matter. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the remainder will remain in effect. No waiver is effective unless in writing and signed by the waiving party.
